Bit off the beaten path but I've long since suspected that the Gamestop/Roaring Kitty/Memestock saga has been connected to the Q operation (Among more tinfoily connections, Bill Pulte was relevant to the saga and is now in the administration).
Anyway, this drop is a Delta with the new warrants that Gamestop is putting out that have a lot of hype around them for the endgame of the memestock thesis, the name Ryan is mentioned (Ryan Cohen is the CEO of gamestop) and the timecode is an allusion to 69/420 which has been an ongoing gag on the memestock side of things.
Could be my tinfoil hat, but watch the markets.

The international investors who had driven Japan's office building market are on track to become net sellers for the first time in four years in 2023, as falling rents and rising interest rates dim its appeal.

gamestop has a CEO once again after Ryan Cohen, the billionaire founder of Chewy, was appointed Thursday.
Cohen had been executive chairman since early June after CEO Matt Furlong was shown the door. The company reported a bigger-than-expected quarterly loss along with the dismissal of Furlong, a former Amazon executive.
Cohen won't be paid a salary for the CEO role, or for his role as chairman and president, the company said in a statement.
Cohen, who's the largest investor in gamestop with a 12.1% stake, sold Chewy in 2017 for $3.3 billion. He's worth about $3.2 billion, Forbes reported.
gamestop shares jumped more than 7% in premarket trading Thursday. However, gamestop is now worth about $5 billion - some $3 billion less than when Furlong was axed.
Cohen first took a stake in gamestop in 2020 and joined its board in January 2021 before becoming chairman that June. His initial appointment helped spark a 50% surge in gamestop shares in a matter of days as it became one of the "meme" stocks that triggered a frenzy among retail investors.

Bed Bath & Beyond CFO Wasn't Alone in NYC Apartment When He Jumped to His Death: Report
New reports say that the wife of former Bed Bath & Beyond chief financial officer Gustavo Arnal was with him in the final moments before he jumped to his death from the family's 18th-floor Manhattan apartment.
Arnal, 52, died in what police have said appears to have been a suicide, according to The New York Times. His body was found Friday near the Jenga building where he lived, and "appeared to suffer from injuries indicative from a fall from an elevated position," police said in a statement.
At the time of the plunge, his wife was in the apartment, according to the New York Post.
A law enforcement source said no suicide note was found, and that no criminal conduct is suspected, the Post reported.
Arnal had been married to his wife for 28 years, according to the Daily Mail. He leaves behind two daughters.
He also leaves behind a tangled financial mess that prompted a class action lawsuit on behalf of everyone who bought Bed Bath & Beyond stock between March 25 and Aug. 18, according to the Daily Mail.
The suit was filed about one week before Arnal's death.
The suit was aimed at the activities of Arnal and investor Ryan Cohen alleging that actions were taken to artificially inflate the stock price.
The lawsuit said that Arnal's role was accomplished by making "materially misleading statements and omissions about the company's financial standing in an effort to artificially inflate the share price."
"Through mid-August 2022, BBBY appeared - from the company's public statements and financial reporting to be a successful turning-around company," the lawsuit said.
The lawsuit claims the deceased executive "blatantly misrepresented the value and profitability of [the company] causing BBBY to report revenues that was fictitious [and] announce publicly that the company is successfully on the way spinning off BBBY to 'unlock full value' of this 'tremendous asset,'" it said.
Bed Bath & Beyond, though, was not doing well financially, the lawsuit claimed.
After Cohen and Arnal sold their shares at a time the stock was high, the stock began to fall. Stock that had been selling at $30 a share before the sales was soon down to $16.16 a share, continuing to fall throughout the month.
Bed Bath & Beyond recently said it would close 150 stores and slash jobs in an effort to turn around the company, according to Reuters.
The store closings followed a second quarter in which same-store sales dropped 26 percent year over year.

Bed Bath & Beyond (BBBY) Chief Financial Officer Gustavo Arnal leapt from the 18th floor window of a luxury apartment building in downtown Manhattan on Friday, days after a lawsuit alleged he and billionaire investor Ryan Cohen made millions while the company crumbled. According to the Daily Mail, shareholder Pengcheng Si filed the lawsuit on August 23 and is seeking damages for a "pump and dump" scheme that alleges Cohen approached Arnal and the two then deliberately inflated, or pumped up, the value of the company's stock and then dumped it, making millions for themselves and leaving everyone else to lose in their investment. Si, a Virginia resident, filed the suit on behalf of all the BBBY shareholders who purchased stock between March 25 and August 18. On Wednesday, BBBY announced it lost a quarter of its value and said they're making massive cuts and closures. It was suggested that around 20 percent of the company's corporate and supply chain staff will have their positions terminated, with nearly 150 locations across the country closing their doors. Shareholders lost around $1.2 billion. On August 16, Arnal made a little over $1 million from selling 42,513 shares in company stock. The lawsuit alleges that billionaire Cohen, who was BBBY's majority shareholder, had Arnal "regulate all insider sales" for the pair's benefit. According to the lawsuit, Arnal made "materially misleading statements and omissions" and "blatantly misrepresented the value and profitability of [the company] causing BBBY to report revenues that was fictitious." While the company was really in freefall, Arnal led investors to believe, "Through mid August 2022, BBBY appeared - from the company's public statements and financial reporting to be a successful turning-around company." Arnal's actions kept other insiders from "flooding the market" with stock while Cohen could do just that. Cohen had previously agreed to buy around 1.6 million shares at low cost. On August 16, the same day Arnal sold his shares, Cohen filed with the SEC (Securities and Exchange Commission) stating he owned a total of 9,450,100 shares, including the new 1,670,100 under certain call options. The idea was that this would create a frenzy of demand for the market to purchase BBBY stock. Stock prices rose to 75 percent that same day and Cohen signed forms saying he was going to sell all his shares and call options, banking a huge profit. As the New York Post reported at the time, "Cohen earned a $68.1 million profit on the stock, generating a 56% gain on his original investment." The very next day shares dropped to $22.50 and continued to drop after that, hitting $8.78 on August 23.While Cohen will face the lawsuit, Arnal's death has been ruled a suicide according to CNBC. The New York Post reports that his wife was in their apartment, located in Tribeca's "Jenga Building," and she watched him jump and plunge to his demise on the concrete below. Thechief financial officer of troubled Bed Bath & Beyondhas been identified as the man who jumped to his death from the iconic new Tribeca skyscraper known as the "Jenga Building," The Post has learned.
Gustavo Arnal, 52, who was also an executive vice presidentfor the struggling home goods retailer, plunged from the 18th floor of 56 Leonard Street on Friday, police sources said.
The 60-story building is best known for its purposely misaligned apartments stacked atop each other, resembling the popular game "Jenga."
Messages left with Bed Bath & Bed and Arnal's family Saturday were not immediately returned.
On Aug. 16, Arnal sold 42,513 shares in company stock for a little over a $1 million, according to MarketBeat.com.
Arnal joined Bed Bath & Beyond in 2020. He previously worked as chief financial officer for cosmetics giant Avon based out of London and had a 20-year career working overseas leading Procter & Gamble.
In 2021, he made more than $2.9 million via Bed Bath & Beyond, including $775,000 in salary and the rest in stock awards, according to InsiderTrades.com.
Bed Bath & Beyond has recently been facing turbulence.
Shares in the Union, New Jersey-based business lost nearly a quarter of their value Wednesday, after the company announced a restructuring that includes store closures, layoffs and a possible stock offering.

Update (1251ET): Bed Bath & Beyond Inc. shares plunged as much as 28% after the home-goods retailer published a new business strategy to convince institutional desks it has a credible plan for survival.
We spoke with at least one institutional trading desk specializing in consumer discretionary who said they've all but given up on Bed Bath & Beyond and left the 'meme stock' for the 'apes.'
Several other desks, such as one at Wells Fargo, said the job cut plan, store closures, new financing, and a pivot away from private label leave "plenty of unanswered questions."
Here's what Wall Street is saying about Bed Bath & Beyond (list courtesy of Bloomberg's First Word):
"Following yet another strategic change at BBBY, we can't help but feel like we've seen this movie before-and it didn't end particularly well," writes Wells Fargo analyst Zachary Fadem, who rates the stock underweight, PT $3.
The announcements today, including the capital raise, more restructurings and pending store closures, seemed "inevitable," with comp. declines of ~25% YTD and 1H cash burn of some $820m
Details on near-term operations margins, inventory, cash trajectory, etc. are "simply too slim to be more constructive"
Sees "few reasons" to think comps/margins can "structurally improve from here"
Vital Knowledge's Adam Crisafulli writes that while financing may provide some added "breathing room," it is unlikely to make suppliers "feel that much more comfortable about shipping product to the company."
"Really hard to get excited about this stock given enormous macro headwinds (slowing consumer spending, a post-pandemic shift away from housing-related spending, etc.) and immense company-specific problems," including another "very large free cash outflow," he says
Investors wanting exposure to this segment would find better places for their cash in homebuilders or retailers like RH or ETD
New financing provides a "temporary reprieve from questions about its financial viability," though the issue now becomes whether BBBY can "find ways to lure shoppers back," according to Insider Intelligence senior analyst Zak Stambor.
The retailer will need to start with "sharply distinguishing its brand from the competition," and executing on that strategy is "key"
Effort to use private labels to help BBBY "stand out from the competition" has fallen "flat" as the pandemic "disrupted the global supply chain," and BBBY's "scaled back inventory left customers with few alternatives when an item was out of stock"
In order for BBBY's new Welcome Rewards program or any rewards program, for that matter to be effective, it needs to "clearly and effectively communicate the benefits of the program. That's easier said than done."
Analysts currently have 12 sells, four holds, and one buy on the retailer – this reflects that a turnaround in the company is becoming less likely.

Update: Following the SEC filing to sell more shares, Bed Bath & Beyond released a statement about its strategic and business update that will result in store closures and a reduction of its workforce. The home-goods retailer also announced new financing commitments.
Bed Bath & Beyond will close approximately 150 lower-producing banner stores. It will also be exiting a third of its Owned Brands by discontinuing three of its nine labels (Haven, Wild Sage, and Studio 3B).
Another cost-cutting measure will be the reduction of 20% of its workforce.
The company also announced it had secured financing commitments of more than 500 million in new financing, including a newly expanded $1.13 billion asset-backed revolving credit facility and a new $375 million "first-in-last-out" facility.
Shares extended declines on the second part of the news following the S-3 shelf filing earlier this morning. Shares are down more than -22%.

In a recent filing with the U.S. Securities Exchange Commission, the nation's largest video game distributor outlined that it would undertake a modernization of its fulfillment network in 2021 to improve its delivery speed and performance.
In a slew of executive leadership hires over the past month, GameStop ( GME)brought on ex-Amazon executive Jenna Owens to lead operations at the company as it tries to leverage this year's retail investor stock market momentum into a transition to a fully digital e-commerce company.
The company is still searching for a new CEO after announcing George Sherman would step down from the position after leading the GameStop (GME) through the depths of the pandemic in 2020. Ryan Cohen, Chewy.com co-founder and soon-to-be board chair of GameStop (GME), has been leading an internal transformation of the video game retailer since he joined the board earlier this year.
GameStop ( GME) also announced Monday that it voluntarily paid off all of its long-term debt obligations on April 30, amounting to $216.4 million in senior notes originally due in 2023. GME Shares Plunge As Company Moves To Sell 3.5M New Shares
More than 2 months have passed since Robinhood shut off trading in Gamestop while the firm's shares soared past the $400 mark, marking a historic confrontation between an army of GME-hodling "apes" and hedge funds like Melvin Capital, not to mention the mighty hedge fund-market maker Citadel, that would cement GME's status as a favorite of the "Wall Street Bets" retail-trading army.
But for the first time since the intense retail interest made GME one of the most closely watched tickers on Wall Street, GameStop announced Monday morning that it would issue up to 3.5M new shares in an at-the-money offering. The proceeds will help GME accelerate its pivot to digital, the company said in a prospectus filed with the SEC.
The news isn't exactly a surprise: some feared GME might announce a share offering during its earnings report last month, a report that, let's remember, triggered a selloff in GME shares as the company offered few details about its Ryan Cohen-led turnaround strategy, disappointing investors. Even though GME bulls have been practically begging the company to offer more shares (an indication that it's serious about its much-hyped "pivot"), GME slumped 10% premarket as investors priced in the expected dilution. What's odd is that shares are down almost 14%, even as the new shares represent a dilution of just 5%. The downward pressure on the stock probably wasn't helped by the following paragraph from the offering's prospectus, where GME warned that the significant volatility seen in its shares since the start of the year means investors who purchase shares of GME common stock "may lose a significant portion of their investments…"
"Our common stock is listed on the New York Stock Exchange, or the NYSE, under the symbol "GME." On April 1, 2021, the last reported sale price of our common stock on the NYSE was $191.45 per share. Our common stock has recently experienced extreme volatility in price and trading volume. From January 11, 2021 to April 1, 2021, the closing price of our common stock on the NYSE ranged from as low as $19.94 to as high as $347.51 and daily trading volume ranged from approximately 7,060,000 to 197,200,000 shares. During this time, we have not experienced any material changes in our financial condition or results of operations that would explain such price volatility or trading volume. GameStop paired news of the stock sale with some sales figures showing its total global sales were up about 11% yoy for the first nine weeks of fiscal 2021. Sales for five-week March 2021 period increased about 18% from prior year
According to the SEC filing, GME signed a deal with the investment bank Jefferies back in December to issue as much as $100MM in stock. While we respect the "Chinese wall" supposedly separating the investment banking and capital markets operations at investment banks like Jefferies, it's certainly interesting how the firm and its analysts upped its GME price target to $175 on March 24, just two weeks ago, marking the second-highest price target on the street (second only to Zacks Investment Research's $203 target). Meanwhile virtually every other bank maintained price targets in the low double-digits. We can't help but wonder: is the analyst who devised the price target getting a free Peloton? Because they have certainly earned it.

GameStop shares have again soared, surging by more than 100 percent until a trading halt slowed the rally before markets closed, stoking suspicions among small investors, some pointing to mysterious Reddit issues during the spike.
$GME was up by nearly 104 percent when trading stopped on Wednesday, more than doubling its value over the last 24 hours, but the surge was stopped in its tracks by a trading halt imposed some 15 minutes before markets closed.
Observers online noted that while halts are typically short-lived and last only a few minutes, the suspension of GameStop trades endured until markets closed at 4pm eastern.
The sudden trading pause was met with outrage by some investors, one even calling for a Congressional probe into what he deemed "obvious market manipulation."
"What they just did to GameStop is absolutely disgusting," one commenter wrote. "Again. Halt the last 15 minutes of the day, and then allow trading immediately following the close. Corrupt as s**t. The SEC is absolutely worthless."
The price rally followed reports on Tuesday that GameStop's Chief Financial Officer Jim Bell was ousted over strategic disagreements, set to be replaced by an executive more in line with the vision of board member Ryan Cohen, who made a substantial investment into the firm last year to aid its transition from brick-and-mortar to online sales. Cohen's arrival helped to kickstart a buying craze in GameStop shares that culminated last month, seeing the stock price swell by more than 1,800 percent at some points while inflicting billions in losses on Wall Street hedge funds heavily shorting the company.

) have been on a wild ride. Analysts who cover the company, however, remain unmoved from their conviction that the stock still has much further to fall before it meets reality.
The company's shares soared more than 1,600% in January as retail investors, urged on by popular Reddit forum WallStreetBets, bought the stock as a way to punish hedge funds that had taken an outsized short bet against it.
While few on the forums have posted their breakdown of what they think is the fair value of a share of GameStock, a popular YouTube streamer named Keith Patrick Gill, who posted under the name the Roaring Kitty, suggested in videos prior to the short squeeze that it was worth at least $50 per share.
The company's stock fell 5.9% to $60 in Monday trading.
Analysts who cover GameStock see it worth on average $13.44 per share, a 78% drop from its current trading price, highlighting the wide gulf between how Wall Street and amateur investors view a stock that has become a symbol of the growing power of retail investors.

At heart is whether the company will be able to transition to a focus on digital sales without losing its profitable used games business, which at gross margins of approxamitely 50% is by far its most lucrative business segment.

A "storm cloud" scenario, meanwhile, in which customers abandon the store and push the company's share price to zero, is three times more likely to happen than a successful transition to a digital marketplace, Sebastian said.
The company's current average target price among analysts is nearly double that of November, shortly before Ryan Cohen, one of the company's largest shareholders, urged it in a Nov. 16 letter https://www.sec.gov/Archives/edgar/data/1326380/000101359420000821/rc13da3-111620.pdf to focus on digital sales.
Michael Pachter, an analyst at Wedbush Securities, currently has a $16 per share price target for the company but said that "you could convince me that it's worth $24" per share depending on its ability to transition to a digital-first business.
Yet the stock's price has become disconnected from its intrinsic value, leaving it inevitable that it will collapse, he said.
"They are a real company with real profits and the management team is good," Pachter said. "I was telling the shorts when it was at $8 that it's not going to zero."

The real reason Wall Street is terrified of the GME situation
Here is my hypothesis: I think the hedge funds, clearing houses, and DTC executed a coordinated effort to put Game Stop out of business by conspiring to create a gargantuan number of counterfeit shares of GME, possibly 100-200% or more of the shares originally issued by Game Stop. In the process, they may have accidentally created a bomb that could blow up the entire system as we know it and we're seeing their efforts to cover this up unfold now. What is that bomb? I believe retail investors may hold more than 100% of GME (not just 100% of the float, more than 100% of the actual company). This would be definitive proof of illegal activity at the highest levels of the financial system.
There are are 71 million shares of GME that have ever been issued by the company. Institutions have reported to the SEC via 13F filings that they own more than 102,000,000 shares (including the 13% of GME stock is owned by Ryan Cohen). Now, I don't know the delay/variance on these ownership numbers, but I think there is a pretty solid argument that close to 100% of GME is owned by these firms, if not more.
Moreover, there are now more than 7 million people subscribed to r/wallstreetbets. I know lots of people here are sitting on a few hundred shares that they bought back when it was under $50. Some of us are even holding thousands. If the average number of shares owned by each subscriber is even close to 5-10, we have a very good shot at also owning a similarly enormous amount of GME. Even if the average was just 10 shares per legit subscriber, that puts the minimum retail position at about 30-50% of the entire company.
GME has been on the NYSE threshold list for almost a month. We don't have January data yet, but I just analyzed the data from the SEC's fails-to-deliver list for December (all 65,871 lines of it) and looked up the number of shares that were likely counterfeit. For comparison, I did the same for a couple random tickers. Most companies have close to no shares not show up. Of those that do, it's a relatively small number of shares. For example, two random companies: Lowes ($LOW, ~$125B market cap) had 13,960 shares fail to be delivered at its highest point that month, Boston Beer Company ($SAM, $11.5B market cap) had 295 shares fail to be delivered.
How many shares of GME failed to deliver? 1,787,191. As the white papers points out, the true number of counterfeit shares can be 20x this number. How bad do you think that number will be when we get the numbers for January? I'm willing to bet its many times that. Look at how that compares to other companies' stock:
I think this explains all the shenanigans going on the last few days. There is way too much counterfeit GME stock out there and DTC, the clearing houses, and the hedge funds are all in on it. That's why there has been such a coordinated effort to disrupt our ability to buy shares. No real shares can be found and it's about to cause the system to fall apart.
TLDR; We probably own way more of GME than we think and that is freaking out Wall Street because it could prove they've been up to some extremely illegal shit and the whole system could implode as a result.

Basically, it's a populous movement of autists and gamers on a mission to profit off of the destruction of the banks, led by notable autist Michael Burry, famous for being the first to short the housing market over a decade ago.
What's even more incredible is that the information operation around this movement is incredibly reminiscent of our populous movement, with a few key players like Burry and Ryan Cohen playing roles similar to that of Gen Flynn and Adm Rogers.
There are accounts on twitter and stocktwits arguing about how high this squeeze could go, similar to when anons fight over whether or not JFK Jr is alive, further propelling the movement regardless of that answer.
Basically, the banks all thought that GameStop was destined to go the way of blockbuster, so they all went short. Burry swooped in and began investing and strengthening the company's cash position so it wouldn't go bankrupt. As the new console releases come, it's basically impossible for the company to go bankrupt.
This royally screws the banks, who's mouthpieces at Bloomberg and CNBC and CNN will do whatever it takes to position GME as a failing company.
Gamers and Autists have been discovering this the same way they discover Q, and have been working as We The People to push the stock price up and squeeze out the banks, forcing them to cover their positions and further drive up the price.
Anons win, banks lose.
At first anon thought it was just ironic how similar the operations were, but then I started to realize that Burry himself HATES GEORGE SOROS, HATES FRAUD, AND LOVES AMERICA.
Now anon thinks this might actually be part of the plan. It's far fetched, but so was taking down the deep state in a carefully planned Quantum MI operation. So it's starting to sound like less and less of a ridiculous theory.

Chewy.com, the online pet product retailer owned by PetSmart, priced its IPO at $22 per share Thursday, above the expected range, according to a person familiar with the offering.
The offering raises just over $1 billion and values the retailer at $8.8 billion. Chewy sold roughly 46 million shares, 5 million more than expected, after upping its expected range to $19 to $21 earlier this week.
PetSmart, which is backed by private equity firm BC Partners, acquired Chewy in 2017 for roughly $3 billion to add an online business to complement its store base, as trends shifted online. But as the two business lines diverged, PetSmart transferred part of its stake in Chewy in a move that set the groundwork for a potential IPO.
Following the initial public offering, PetSmart will own roughly 70% of the company's common stock and hold approximately 77% voting power. The two will continue to coordinate purchases, giving both stronger bargaining power, Chewy said in IPO registration documents.
It will use proceeds from the offering for working capital and general corporate purposes, according to the filing.
Some PetSmart investors likely hope that will include paying down debt. The company's credit metrics have weakened since acquiring Chewy, which added $2 billion in debt to its balance sheet, according to credit ratings agency Moody's. The firm estimates that as of February, PetSmart was leveraged at roughly 8.5 times enterprise value to earnings before interest, taxes, deprecation and amortization.
Chewy was founded in 2011 by Ryan Cohen and Michael Day. Cohen last year stepped down as CEO of the company, succeeded by Sumit Singh, Chewy's former chief operating officer, who held prior roles at Amazon Fresh and Dell.

Twitter's stock price spiked 4.2% Wednesday after a judge in Delaware rejected billionaire Elon Musk's request to delay a trial over his potential purchase of the company.
Musk had requested a delay at the end of August after a whistleblower at Twitter claimed the company made false claims about its security capabilities. Twitter is suing Musk to force him to follow through on his offer to purchase the company for $44 billion.
Lawyers for Musk and Twitter will open their arguments in the Delaware Court of Chancery on Oct.17.
Musk has sought to back out of his original offer to buy Twitter at $54.20 per share, arguing the company misrepresented how many spam accounts were active on its platform. Twitter states that spam and bots make up less than five percent of its users. Musk is seeking to avoid a $1 billion fine for canceling his purchase. Peiter Zatko, Twitter's former head of security, did not comment on the prevalence of bots on the platform but stated that the company had "extreme, egregious deficiencies" in its cybersecurity. He claims that Twitter took little-to-no action to stop foreign governments that were trying to "infiltrate, control, exploit, surveil and/or censor the company's platform, staff, and operations."

Bed Bath & Beyond Inc. Chief Financial Officer Gustavo Arnal fell to his death from a skyscraper in Manhattan's Tribeca neighborhood on Friday.
The Union, New Jersey-based company confirmed it was Arnal who died in a statement Sunday. Earlier on Sunday, the New York Police Department named the person as 52-year-old Arnal, resident of 56 Leonard Street -- also known as the Jenga Building (lived on the 18th floor). "I wish to extend our sincerest condolences to Gustavo's family. Gustavo will be remembered by all he worked with for his leadership, talent and stewardship of our Company," Harriet Edelman, Independent Chair of the Bed Bath & Beyond's Board of Directors, said in the statement. "Our focus is on supporting his family and his team and our thoughts are with them during this sad and difficult time." Arnal was among the Bed Bath & Beyond executives who provided details on Wednesday of the company's turnaround plan, which including cutting 20% of jobs across its corporate and supply-chain operations and closing about 150 lower-producing stores. The plan also envisioned new financing and the sale of as many as 12 million shares. Arnal joined the retailer in May 2020 as it navigated the coronavirus pandemic. He was previously with Avon Products Inc., Walgreens Boots Alliance Inc. and Procter & Gamble Co. The New York Post first reported Arnal's death.
In a regulatory filing last month, Bed Bath & Beyond said Arnal sold more than 55,000 shares in multiple transactions on Aug. 16-17 as part of a Rule 10b5-1 trading plan entered into in April 2022. Such trading plans are typically adopted by executives to sell stock on a regular basis. The sales garnered $1.4 million, according to Bloomberg calculations, and Arnal still had almost 255,400 shares remaining.

Bed Bath & Beyond Inc. said it's close to securing financing and is putting in place a new business strategy to reduce costs as the troubled retailer tries to convince investors, vendors and customers that it has a credible survival plan.
The home-goods retailer said it has received commitments for a new US$375 million "first-in-last-out" facility with Sixth Street Partners and around US$130 million to expand an asset-based revolving credit facility, which is led by JPMorgan Chase. The company said the loan deal hasn't closed yet but is expected to soon.
The company is also preparing to sell up to 12 million shares via Jefferies to help repay debt. The threat of the stock value being further watered down sent investors into a tailspin on Wednesday. "We are working swiftly and diligently to strengthen our liquidity and secure our path for the future," interim Chief Executive Officer Sue Gove said in a statement. The company said it plans to use the proceeds from the first-in-last-out facility to help pay down its asset-backed facility. In the case of a default, lenders in the first-in-last-out facility get what remains after higher-ranking secured debt is repaid in full. The decision to sell may have been a smart one. Cohen first bought Bed Bath & Beyond's stock at $15.34 a share, only to watch the stock tumble below $5. Shares of Bed Bath & Beyond Inc. BBBY, -23.09% were plunging Thursday toward their worst one-day performance in over a year, after a large investor in the meme stock GameStop Corp. Chairman Ryan Cohen disclosed plans to sell off their stake. The stock was down 25.0% in morning trading, putting them on track for the biggest decline since it sank 27.8% on June 3, 2021. The home-goods retailer's stock is also headed for the third-biggest decline since it went public in June 1992; at the top of the list is the record 36.4% drop on Jan. 28, 2021. Other meme stocks were also pulling back, with shares of AMC Entertainment Holdings Inc. AMC, -4.73% down 5.0% and GameStop GME, -5.92% shedding 6.1% in morning trading. Bed Bath & Beyond Stock Plunges After Ryan Cohen Files to Unload Stake
Bed Bath & Beyond Inc., the struggling retailer turned meme-trader darling, skidded as much as 21% in postmarket trading after a top investor suggested he has soured on the stock.
Ryan Cohen's RC Ventures said in a filing Tuesday with the US Securities and Exchange Commission that it might sell as much as 7.78 million shares of Bed Bath & Beyond, along with some call options. RC is the retailer's second-largest holder after BlackRock Inc., according to data compiled by Bloomberg, with an 11.8% stake as of April 21. Bed Bath & Beyond has risen more than 400% from a late-July low as retail investors embraced it. The company has fared less well on the fundamental side of things lately, dismissing former Chief Executive Officer Mark Tritton in June after another downbeat quarterly report. Cohen had grown fed up with Tritton's performance and pushed for his ouster, a person familiar with Cohen's thinking said at the time, but continued to believe the company's Buybuy Baby unit was a promising and undervalued asset. The filing suggests Cohen's patience for a Bed Bath & Beyond turnaround is wearing still thinner.
RC Ventures and Bed Bath & Beyond didn't immediately respond to requests for comment. Bed Bath & Beyond shares were down 16% to $19.45 in after-hours trading at 6:23 p.m. in New York...make that $18.85 -4.23 (-18.33%)

Record Stock Sales From Money-Losing Firms Ring the Alarm Bells
If you think a rush by companies to sell their shares is a bad omen for the market, imagine a scenario where most of the sales come from firms that don't make money.
It's happening now. Since the end of March, almost 100 unprofitable companies, including GameStop Corp. and AMC Entertainment Holdings Inc., have raised money through secondary offerings, twice as many as coming from profitable firms, according to data compiled by Bloomberg. Granted, troubled companies are tapping into buoyant demand during a 16-month rally to beef up their balance sheets. And it's further evidence that the capital market functions as smoothly as it's supposed to. Yet some warn that the flood of shares coming from money losers is becoming extreme.
During the past 12 months, almost 750 money-losing firms have sold shares in the secondary market, exceeding those that make profits by the biggest margin since at least 1982, data compiled by Sundial Capital Research show. "That perhaps points to companies getting greedy," said Mike Bailey, director of research at FBB Capital Partners. "Anytime you have a bunch of selling by desperate companies, that could be a signal we're closer to a top than a cyclical bottom." In fact, the previous two periods in which unprofitable firms dominated the pool of equity offerings, the S&P 500 Index was either at the start of a bear market, or already in one. The 2000 episode showed what might be at stake. Back then, a similarly ebullient market lured profitless companies to offer shares. Once supply overwhelmed demand, the party turned into a scare. Stocks with no fundamental support sold off and the carnage spread to the rest of the market. With much of the business world yet to fully recover from the pandemic fallout, the easiness to raise money via equity offerings bodes well for corporate America, according to Randy Frederick, managing director of trading and derivatives for Charles Schwab Corp. With the boost in capital, he says, many crippled firms now have a shot at mounting a turnaround.
Take AMC as an example. After sinking to the brink of bankruptcy during the lockdown, the movie theater-operator has cashed in on its meme-stock status to raise some $1.25 billion through equity offerings in recent months. That, combined with an improving outlook for the film industry, prompted S&P Global Ratings to upgrade its credit score. Similarly, GameStop has tapped equity markets twice this year in moves that the video-game retailer said would raise money to invest in growth initiatives and maintain a strong balance sheet. Activist investor Ryan Cohen has built a 13% stake in GameStop and is leading an effort to transform the company into an e-commerce powerhouse, away from its brick-and-mortar roots.
Of course, there's no guarantee that a transformation effort will succeed. Based on stock performance following issuance, investors still prefer quality. Among this quarter's issuers, those that are struggling have seen their shares rise 2.7% on average through Friday, trailing those profitable by 2 percentage points.

GameStop Corp. late Wednesday appointed two Amazon Inc. executives as its new top executives, shortly after private-equity investor Ryan Cohen was voted the company's chairman of the board. The videogame retailer that became one of the most recognizable names among "meme stocks" also surprised Wall Street with a first-quarter revenue beat, a smaller-than-expected quarterly loss, and plans sell more stock to take advantage of its 1,600% stock gain this year alone. GameStop GME, +0.85% said it appointed Matt Furlong as chief executive and Mike Recupero as chief financial officer. Both join from Amazon AMZN, +0.52%, where they oversaw growth initiatives, the company said. Furlong, a nine-year Amazon veteran, will start on June 21, and Recupero, who spent 17 years at Amazon, will start on July 12, GameStop said. GameStop announced earlier Wednesday that Chewy Inc. CHWY, -2.14% co-founder Cohen was voted in as GameStop's new chairman of the board. Cohen and two of his allies joined GameStop's board earlier this year, with the expectation they'd lead an overhaul.
Separately, GameStop said it lost $66.8 million, or $1.01 a share, in the fiscal first quarter, compared with a net loss $165.7 million, or $2.57 a share, in the fiscal 2020 first quarter. Adjusted for one-time items, GameStop lost $29.4 million, or 45 cents a share. The stock traded nearly 10% lower in the extended session Wednesday after ending the regular trading session up 0.9%. GameStop also said it plans to file plans with securities regulators to sell up to 5 million shares, "from time to time, in 'at-the-market' offerings." Proceeds would go toward general corporate purposes "as well as for investing in growth initiatives and maintaining a strong balance sheet," GameStop said. Timing and amounts will depend factors such as market conditions, trading price and others, it said. The retailer said it had $770.8 million in cash and restricted cash as of May 1. There were no borrowings under its asset-based revolving credit facility and no long-term debt, it said. GameStop raised nearly $552 million in net proceeds through the sales of 3.5 million shares in April. The company said it "has used and intends to continue using net proceeds to accelerate GameStop's transformation as well as for general corporate purposes and further strengthening the balance sheet."
GameStop also disclosed that it received a request for documents from the Securities and Exchange Commission on May 26 in regards to trading activity. Based on Reuters calculation, the average price of the shares sold was $157.43. The company's stock has gained more than 850% this year thanks to a push by retail investors to drive up prices of heavily shorted stocks.
GameStop said earlier this month George Sherman will step down as its chief executive officer in the biggest management shakeup at the retailer, giving top shareholder Ryan Cohen more control.

GameStop Corp. Chief Executive Officer George Sherman, who is expected to leave the struggling video-game retailer, sold almost $12 million in shares, benefiting from a run-up in the stock fueled by day traders.
Sherman sold 76,097 shares of the company on April 15 for $156.44, a regulatory filing Friday showed, delivering proceeds of $11.9 million.
Representatives of GameStop didn't immediately respond to a request for comment.
Activist investor Ryan Cohen, the company's incoming chairman, is spearheading a turnaround effort at GameStop, which is seeking a new CEO to replace Sherman, people with knowledge of the matter have said. Sherman earlier this week forfeited about $98 million in compensation after failing to meet performance targets.
Shares of GameStop have become a favorite of Reddit-reading day traders this year, sending the stock soaring, despite shrinking sales and losses in the latest fiscal year.

Current CEO George Sherman appears to be losing his position as well as his incentive shares, Reuters reports, with inside sources saying the company is seeking a new CEO. Sherman was picked as CEO exactly two years ago in April 2019. He is also a member of the company's board. There is no indication at this time he will leave the board of directors.
GameStop is reclaiming Sherman's 587,000 incentive shares as a forfeit "based on attainment of 0% of stated performance target," according to the related Securities and Exchange Commission (SEC) filing. Sherman retains ownership of 1,774,422 shares after the forfeit, worth around $291.3 million at yesterday's closing price.
Business Insider reports GameStop's Chief Merchandising Officer, Chris Homeister, is also forfeiting 119,000 shares worth approximately $19.9 million. Homeister still retains a 388,000-share stake in the company. GameStop is in the process of shedding its debt and transforming itself into an online retailer, while Sherman's experience is mostly in brick-and-mortar retail, explaining his likely replacement as CEO.

In a regulatory filing for the offering, Grapevine, Texas-based GameStop addressed the extreme gyrations in its shares in the last three months, which have swung from as low as $19.94 to as high as $347.51. GameStop had registered in December with the U.S. Securities and Exchange Commission (SEC) to sell $100 million worth of stock through an at-the-market offering (ATM), which it never deployed.

The company, however, is not obligated to sell shares at that value since at-the-market programs allow companies to sell stock over a prolonged period of time. GameStop's stock has gained more than 900% so far this year, giving the company a valuation of as much as $34 billion at one point as retail traders bet against Wall Street hedge funds that had shorted its shares.
Movie theater operator AMC and airline operator American Airlines, which also benefited from the Reddit-fueled trading frenzy in January, were able to sell stock but GameStop was unable to do so because of regulatory restrictions. GameStop warned investors that the purchase of shares in its offering may result in a "significant" loss if the price of its stock declines. The new at-the-market offering prospectus filed with the U.S. Securities and Exchange Commission replaces one from December, in which GameStop had registered to sell $100 million worth of stock. The company said it had not sold any stock under the December prospectus. GameStop said Jefferies LLC is acting as its sales agent for the new offering at a commission of up to 1.5% of the gross sales price per share. Separately, GameStop said global sales for the nine-week period ending April 4 rose about 11%.
Its shares were down at $168.76 in premarket trading.
