Wirecard lays off more than half of remaining staff in Germany
he collapsed payments company Wirecard has let go more than half of its remaining staff in Germany and terminated the contracts of its management board members, its insolvency administrator said. News of the layoffs came as Wirecard's demise amid an accounting scandal entered a new phase, with the official opening of insolvency proceedings on Tuesday. Michael Jaffe, the insolvency administrator, said "far-reaching" cuts were needed to keep Wirecard's core business operational.
The company is laying off around 730 staff, while retaining 570 at its base in Aschheim, Germany. The three remaining board members whose contracts were terminated included Chief Executive James Fries, who joined Wirecard only recently to succeed Markus Braun, who remains in custody. "The economic situation of Wirecard AG was and is extremely difficult in light of the lack of liquidity and the well-known scandalous circumstances," Jaffe said.
Wirecard was a rising star in corporate Germany, earning a spot as one of 30 blue chips, but in a dramatic fall from grace, Wirecard filed for insolvency owing creditors 4 billion euros ($4.73 billion) after disclosing a 1.9 billion euro hole in its accounts. Prosecutors suspect Wirecard executives of masterminding a criminal racket to fake the company's accounts and defraud creditors of billions of euros.
Jaffe is working to sell Wirecard's global assets. The first deal to sell its operations in Brazil was agreed last week.

Prosecutors in Germany arrested two more former executives of bankrupt payment processing firm Wirecard AG on Wednesday while re-arresting the company's former chief executive officer.
Officials in Munich said they suspect the former executives of forming an organized criminal enterprise designed to cheat creditors out of billions of euros based on fake accounts.
Wirecard's former Chief Executive Markus Braun, along with the former chief financial officer and chief accounting officer are now being held in custody.
Under German privacy laws, the latter two executives could not be named - Braun was named since he is already a well known public figure in Germany.
Prosecutors plan to charge them with organized commercial criminal fraud, breach of trust, false accounting and market manipulation.
Anne Leiding, a spokeswoman for the Munich State Prosecutor's Office, said the three are alleged to have conspired to inflate company revenues by forging nonexistent business with third-party partners. This misconduct created a false impression of a financially strong company which eventually allowed Wirecard to borrow some 3.2 billion euros ($3.7 billion) from various banks.
"In reality it was clear, at the latest by the end of 2015, that Wirecard's real business was losing money," Leiding said.

Wirecard CEO Re-Arrested After Being Freed On Bail
Shortly after Wirecard's former COO reportedly surfaced in Russia, where he has fled to avoid prosecution over the bankruptcy of Wirecard after the company reportedly collapsed following the exposure of a massive $2 billion accounting fraud, prosecutors in Munich have issued new arrest warrants for three former Wirecard executives - including former CEO Markus Braun - over findings that Braun and the others knew about the fraudulent activity as far back as 2015.
A new expanded arrest warrant has been issued targeting Braun, who was arrested for the first time in relation to the scandal late last month, has been free on a massive $6 million bail.
Braun was re-arrested during his weekly check-in with authorities.
The former head of the Wirecard subsidiary Cardsystems Middle East, which was blamed for playing a key role in the fraud, remains in custody in Dubai. The new allegations determined that all the executives were involved with a conscious decision back in 2015 to "inflate" Wirecard's balance sheet by booking fraudulent revenue to make the company more attractive to lenders.
The three conspired to defraud loan providers out of about 3.2 billion euros ($3.7 billion), Munich prosecutors said Wednesday.
Of Wirecard's 45 subsidiaries, only 3 were profitable.
The warrants are for crimes ranging from fraud to market manipulation. The other two executives were identified by AFP as two Wirecard board members.

Prosecutors in Germany are investigating possible acts of money laundering by executives at Wirecard, the payment processing firm that filed for insolvency last month amid widespread accusations of fraud.
"We are investigating suspected money laundering," said a spokeswoman for the Munich prosecutor's office, without providing more details.
The scandal-scarred firm is already under investigation for fraud. The company's former chief executive officer and largest shareholder, Markus Braun, was arrested but released after paying bail. Another unnamed executive based in Dubai was also arrested on fraud charges by authorities in Munich.
The company owes some $4 billion to creditors.
Long accused by investors of recording fake revenues, the company's troubles boiled over last month when auditors were unable to account for some $2 billion on Wirecard's financial statements.
The Wall Street Journal reported that in the U.S. authorities are now probing if Wirecard played a role in an alleged $100 million bank fraud conspiracy linked to an online marijuana marketplace. That case involved two businessmen who allegedly conspired with third-party payment processors and others to deceive U.S. banks into approving credit card payments for marijuana products. Wirecard may have served as both a payment processor and an offshore merchant bank in this alleged conspiracy.
The Irish Times reported that Wirecard's offices in Dublin were raided by police at the request of German authorities in order to find evidence concerning alleged fraud.
The Journal also reported that as long ago as 2010, the Federal Bureau of Investigation probed a German citizen in Florida who operate an unlicensed money transmitting business that paid out illegal gambling profits from online casinos. Wirecard's bank business was apparently involved in the transference of some of this cash.
In another incident in late 2015, German prosecutors raided Wirecard at the request of U.S. officials who were investigating money laundering activities.
Despite its deepening woes and apparent implosion, some investors are still keeping their Wirecard shares.

BERLIN/MUNICH (Reuters) - German prosecutors said on Monday they had arrested the head of a Dubai-based subsidiary of Wirecard, widening the circle of suspects in a multi-billion-dollar fraud investigation into the collapse of the payments company.
The Munich prosecutor's office said in a statement it had questioned the chief executive of Cardsystems Middle East FZ-LLC earlier in the day and arrested him on the basis of a warrant.
The executive had travelled from Dubai and turned himself in, prosecutors said, without naming him. Unless defendants are publicly known, their identity can be protected under German law to avoid prejudicing legal proceedings.
The arrest was made on suspicion of conspiracy to commit fraud, attempted fraud and aiding and abetting other crimes, prosecutors said. Prosecutors fear there was a risk that he would flee or tamper with evidence.
Wirecard filed for insolvency last month owing creditors almost $4 billion after disclosing a 1.9 billion euro ($2.1 billion) hole in its accounts that its auditor EY said was the result of a sophisticated global fraud. Investigative journalists, researchers and speculators had long highlighted Wirecard's reliance on an obscure trio of third-party acquiring partners - one of which was Cardsystems - to generate the bulk of its reported revenue and profit. The latest arrest came after police and public prosecutors raided Wirecard's headquarters in Munich and four properties in Germany and Austria last Wednesday as they widened their investigation.
Prosecutors are treating Wirecard's Chief Financial Officer Alexander von Knoop and Chief Product Officer Susanne Steidl as suspects, in addition to former Chief Executive Markus Braun and chief operating officer Jan Marsalek. Braun, who was arrested and released after posting 5 million euros bail, remains a suspect. Marsalek's whereabouts are unknown and his lawyer is declining requests for comment.

MANILA (Reuters) - Immigration records showing Wirecard's former chief operating officer Jan Marsalek arrived in the Philippines on June 23 and departed for China the next day were falsified, Philippines Justice Secretary Menardo Guevarra said on Saturday.
Guevarra said the immigration officers who inputted the fictitious entries have been relieved of their duties and face administrative sanctions.
"The investigation has now turned to persons who made the false entries in the database, their motives and their cohorts," Guevarra told reporters.
Marsalek, 40, was fired as COO of the German firm on June 18 after auditor EY refused to sign off on Wirecard's accounts. The company, once one of the hottest fintech companies in Europe, collapsed a week later owing creditors almost $4 billion after disclosing a $2.1 billion hole in its accounts that auditor EY said was the result of a sophisticated global fraud.
The missing money was purportedly held in escrow accounts at two Philippine banks, which have denied any links with the Wirecard.
Guevarra said it was possible Marsalek could be in the country, telling Reuters, "Notwithstanding the Bureau of Immigration report, I do not totally discount the possibility that Marsalek may be in the Philippines."
"We are an island country, and there are backdoors through which undocumented foreigners may slip through," he said.
Munich prosecutors obtained arrest warrants against ex-CEO Markus Braun and Marsalek on June 22. Braun turned himself in that day, but Marsalek has disappeared and his mobile number is no longer in service.

Wirecard AG, the scandal-ridden German payment processor company engulfed in an accounting fraud imbroglio, saw its shares nonetheless surge by 154.5% on Frankfurt Stock Exchange on Monday.
Shares of Wirecard, which filed for insolvency on Thursday, plunged 95% last week.
"Wirecard shares have soared [Monday] on chatter that Worldline, the French payments group, might seek to buy parts of the struggling company," said David Madden, market analyst at CMC Markets in London.
On Friday, the German daily newspaper Frankfurter Allgemeine Zeitung reported that Worldline was just one of several entities interested in acquiring parts of Wirecard.
Worldline itself is planning to acquire another French tech firm called Ingenico.
"While Wordline is yet to respond to the [Frankfurter Allgemeine Zeitung] article, it is consistent with our view that the merged Worldline/Ingenico... would be potential beneficiaries and/or suitors for customers seeking to leave the [Wirecard] platform," analysts at Jefferies wrote on Monday.
But Jeffries also warned they were "cautious" about any such acquisition, citing that Worldline/Ingenico are also "well positioned to capture customers organically that would churn away from an insolvent [Wirecard] platform."
But some observers attributed Monday's price spike to merely a dead cat bounce.
Meanwhile, Wirecard faces a mountain of other troubles - its former CEO Markus Braun was arrested last week on suspicions of fraud. He posted a hefty bail of ?5 million ($5.62 million) and is currently out of custody, Authorities in Munich are investigating Braun and other former company executives for their possible role in financial misconduct that led to some $2 billion in cash "missing" from Wirecard's accounts.
Some German lawmakers also want a parliamentary inquiry to investigate Wirecard's collapse, with a particular focus on auditors and regulators who were caught asleep at the wheel.

Banks which had made loans to Wirecard AG, the scandal-ridden German payment processor that collapsed on Thursday, may be looking at losses of some $1.8 billion.
Bloomberg reported that a group of banks including Dutch lenders ABN Amro Bank NV and ING Groep NV (ING) and Germany's Commerzbank AG had been negotiating with Wirecard regarding a 1.75 billion euro ($2 billion) credit facility that was already about 90% drawn.
These discussions abruptly ended when Wirecard filed for insolvency in a Munich court, surprising some of the banks.
The payments company informed the court that, with 1.3 billion euros ($1.5 billion) of loans due in less than a week its survival was "not assured."
Bloomberg reported that Barclays, Credit Agricole, DZ Bank, Lloyds, Bank of China, Citi, Deutsche Bank, MUFG, Raiffeisen Niederosterreich, Agricultural Bank of China and Raiffeisen Oberosterreich were also exposed to Wirecard.
Ironically, the banks had granted Wirecard a short reprieve on its loans, rather than force the firm to repay the loans immediately.
Wirecard's collapse was triggered by suspicions of massive fraud arising from the apparent disappearance of $2.15 billion from its account books. The company's auditor Ernst & Young refused to validate its 2019 financial statements.
"There are clear indications that this was an elaborate and sophisticated fraud involving multiple parties around the world," Ernst & Young said.
The company now is embroiled in a criminal investigation and its former Chief Executive Officer Markus Braun was arrested. He has since posted bail of 5 million euros ($5.6 million) and is no longer in custody.
Wirecard's former chief operating officer Jan Marsalek is also under investigation and currently believed to be in the Philippines,

Wirecard's Former CEO Markus Braun Arrested
Ex-Wirecard CEO Markus Braun was arrested Monday night (June 22) in the latest chapter that has rocked the German payment services provider, the Financial Times reported. Braun surrendered to Munich prosecutors after a judge issued a warrant as prosecutors investigate an accounting scandal that centers on a missing 1.9 billion euros ($2.1 billion), prosecutors confirmed on Tuesday.
The 50-year-old executive faces charges of accounting fraud and market manipulation designed to artificially inflate the financial technology company's balance sheet to make it look more appealing to investors and customers, the Financial Times reported.
Braun allegedly committed the scam with others, investigators said, but no one else had been named at press time, according to the report. A lawyer for Braun did not immediately respond to a request for comment from the newspaper.
Until his resignation Friday (June 19), when an audit revealed 1.9 billion euros ($2.1 billion) were missing from two bank accounts in the Philippines, Braun had been at the top of the FinTech company since 2002, the Times reported. Since the drama unfolded, Wirecard share values have plummeted. On June 17, the stock closed at $104.50. But by the open on Tuesday (June 23), the stock had dropped to $14.25.
The company said that it was trying to determine "whether, in which manner and to what extent such business has actually been conducted for the benefit of the company," the report said. Founded in 1999, Wirecard was once considered one of the most promising tech firms in Europe. It processes payments and sells data analytics services. The company has nearly 6,000 employees in 26 countries worldwide.
Wirecard calls itself the world's first payment service provider to offer more than 200 local and global payment solutions, according to the company's website. Bloomberg reported Monday that the Bank of China is one of more than a dozen commercial banks that have lent $2 billion through a facility to Wirecard. The bank is considering whether to write off roughly $90 million lent to Wirecard, and would not extend the line.
Ernst & Young, the company's auditor, said it became suspicious of whether the money was ever deposited into the accounts. "There is a prevailing likelihood that the bank trust account balances in the amount of 1.9 billion euros do not exist," Wirecard said at the time.
On Sunday (June 21) Wirecard's claim to have directed the cash to BDO Unibank Inc. and the Bank of the Philippine Islands was challenged by the Philippines central bank. The Bangko Sentral ng Pilipinas said the money never entered the country.

Wirecard shares crash again after payments firm says missing $2 billion likely doesn't exist
Wirecard shares are once again in free fall on Monday after the German payments firm said it was likely that 1.9 billion euros ($2.1 billion) of cash missing from its balance sheet doesn't exist. The Munich-based company said it was assessing the "prevailing likelihood" that unaccounted cash balances flagged by auditors at EY last week "do not exist." The lost funds represent roughly a quarter of Wirecard's balance sheet. Shares of Wirecard crashed about 45% shortly after the opening bell. Its stock price was last trading down by 36%.
The search for the missing cash appeared to hit a dead-end after two Asian banks alleged to be holding the missing cash - the Philippines' BDO and BPI - both denied having Wirecard as a client. Further compounding those fears, the Philippines' central bank said Sunday that the money hadn't even entered the country's financial system. "The initial report is that no money entered the Philippines," Bangko Sentral ng Pilipinas Governor Benjamin Diokno said Sunday, adding that the names of BDO and BPI were used "in an attempt to cover the perpetrators' track." Both BDO and BPI said that rogue employees falsified documents to indicate the existence of the funds.
When contacted by CNBC Monday, a spokesperson for Wirecard said it was "currently not making any further statements."
The admission that the money may not exist is yet another troubling revelation from Wirecard, which is fighting for survival amid the accounting scandal.
Wirecard CEO Markus Braun abruptly resigned on Friday a day after the company said EY had refused to sign off its 2019 accounts. Before his exit, Braun suggested that it was Wirecard that may have been the victim of "considerable" fraud. The saga has put Wirecard's future in doubt. The payments processor, once seen as one of Germany's top tech companies, said Monday that it had withdrawn its assessment of preliminary, unaudited results for 2019 and the first quarter of 2020, as well as profit forecasts for the current year. It added that "potential effects on the annual financial accounts of previous years cannot be excluded."
Wirecard said it is in "constructive discussions" with lenders about continued access to credit and that it was working with investment bank Houlihan Lokey in "assessing options for a sustainable financing strategy." The company is also looking at potentially reducing costs by restructuring and disposing or terminating some business units.

As ex-CEO Markus Braun's Wirecard stake is officially dragged underwater as its value sinks below the balance of a loan backed by the shares, threatening to set off a 'doom loop' margin call that could officially take the once-highflying DAX components shares to zero, it appears many of the company's biggest lenders are running for the hills, cutting the company off from much-needed liquidity and forcing it to dramatically reassess its options now that bankruptcy looks virtually inevitable.
According to Bloomberg, state-run Bank of China is looking at turning off the credit taps and writing down its ?80M ($90M) loan to Wirecard.
Bank of China Ltd. is discussing ending a credit facility to Germany's Wirecard AG, a move that would complicate the beleaguered company's fight for survival after it was engulfed by a multi-billion-dollar accounting scandal.
China's fourth-largest lender may write off most of the 80 million euros ($90 million) it's owed and not extend the credit line, the people said, asking not to be identified as the discussions are private. Bank of China one of a group of at least 15 commercial banks behind $2 billion in financing to Wirecard plans to engage an external legal team to look into how it can minimize losses, they said.
Bank of China is part of a revolving credit facility of about 1.75 billion euros, Bloomberg reported earlier. Under the current lending agreement, banks can call in loans before the maturity or take legal action if terms are breached, or if conditions attached to the facility aren't met.
Of course, once one bank moves to cut ties, the rest of the corporate banking cabal will see the blood in the water and turn off the taps, effectively forcing a 'liquidity crisis' that will probably force the company into bankruptcy.

Former Wirecard boss must testify to parliament in person
The former head of collapsed payments services provider Wirecard must appear in person before a German parliamentary inquiry on Thursday after a court rejected his lawyers' motion for him to be allowed to testify by video link. The Federal Court of Justice rejected the request from Markus Braun, who has been detained since July pending a trial on charges of fraud and embezzlement, according a letter, seen by Reuters, sent by the court to the parliamentary committee that will hear him.
The ruling means that former Chief Executive Braun, held on suspicion of defrauding investors through false accounting, could be brought to Berlin to appear before the committee in handcuffs. Braun, and several other accused, deny any wrongdoing. His laywers had argued that the circumstances of the coronavirus pandemic made it unnecessarily risky for him to testify in person, especially when the necessity of providing prisoner transport was considered.
Munich-based Wirecard collapsed in June after auditors EY refused to sign off on its 2019 accounts because it could not verify 1.9 billion euros ($2.2 billion) supposedly held abroad in escrow by third-party partners.
