Moderna CFO Meline steps down $42 million richer, passing reins to incoming finance chief Gomez ~ April 20, 2022
Coming out of retirement to work for Moderna as its chief financial officer was a sweet deal for David Meline. In fact, it will make him $42 million richer. That's the current value of his 270,000 stock options-awarded upon his hire in July 2020-which will be fully vested by July 2024. The disclosure came (PDF) in an SEC filing on Monday and Moderna's 2022 proxy (PDF) statement.
On Monday, Moderna revealed that Meline was stepping down and will be replaced by Jorge Gomez, who leaves his post as CFO at Dentsply Sirona. Gomez, 54, previously served as the finance chief at Cardinal Health.

Moderna CFO out after two days in the role as former employer Dentsply discloses probe of financial reporting
Moderna Inc. surprised investors Wednesday with the news that its chief financial officer has departed the company just two days after taking up the position, following the disclosure of an internal probe into financial reporting at his former employer. Jorge Gomez, who became Moderna's CFO on Monday, has left the biotech after Dentsply Sirona Inc. XRAY, 5.62% disclosed the probe. Before joining Moderna, Gomez had been CFO of Dentsply since 2019. The maker of dental products and technology said it was late filing its 10-Q quarterly earnings form with the Securities and Exchange because of the investigation. "The investigation is ongoing, and the company cannot predict the duration or outcome of the investigation," said the filing. "As a result, the company has not yet finalized its financial statements or its assessment of the impact of the investigation on its historical financial statements or for the financial statements for the three months ended March 31, 2022, and is therefore unable to file the Form 10-Q on a timely basis."
In a separate filing, the company offered more detail, saying that its audit and finance committees are investigating allegations regarding certain financial matters submitted by former and current employees. The investigation is focused on the company's use of incentives to sell products to distributors in the third and fourth quarters of 2021 and "whether those incentives were appropriately accounted for and the impact of those sales was adequately disclosed in the company's periodic reports filed with the SEC." The audit committee is also looking into allegations that current and former members of senior management "directed the use of these incentives and other actions to achieve executive compensation targets in 2021." The company has retained outside counsel and a forensic accounting firm. It has also made voluntary disclosures to the SEC and will continue to do so throughout the probe. Moderna said recently retired CFO David Meline will come out of retirement as of May 11 while the company conducts a new CFO search.

Hours after Pfizer, Moderna names its own new CFO with dental, healthcare and auto chops
April 11, 2022 11:39 AM EDT
Roughly two hours after Pfizer named its new CFO, its Covid-19 vaccine competitor Moderna chalked up its own new CFO with a r?sum? steeped in healthcare, dental equipment and auto manufacturing.
Moderna's current CFO, David Meline, "has decided to retire," the Spikevax maker said Monday as Jorge Gomez takes over the company's finances on May 9. For 21 months, Meline led the financial duties at the Flagship-founded biotech during its massive rise as one of the key players in the world's pandemic response. He'll remain as a consultant for the transition.
David Meline
Gomez comes to the Cambridge, MA biotech with recent chops in leading the finances of dental equipment maker Dentsply Sirona, which he joined in August 2019. He appears to have just a weekend break between jobs: Dentsply said he departs May 6.
During his tenure at Dentsply, the $10.5 billion market cap company's stock $XRAY went on a ride from $52 per share to a low of $38, up to $67.51 last April and back down to $48 today.
He'll join a biotech with a market cap magnitudes larger, at $63.6 billion, thanks largely to Moderna's success at delivering hundreds of millions of Covid-19 vaccine doses and work building up partnerships across the globe with the likes of IAVI, federal governments and industry peers AstraZeneca, Merck and Vertex.
"As we grow and scale the company globally, Jorge's experience leading the financial functions of multinational healthcare companies will be an asset to our team. Jorge's passion for sustainability and ESG aligns closely with Moderna's vision to make corporate responsibility a critical part of who we are and what we do," Moderna CEO St?phane Bancel said in the news release. Moderna's ESG day is slated for Nov. 10, the company said in February.
Gomez steps into a 3,000 employee-company with $17.6 billion in cash, cash equivalents and investments at the end of 2021.
Like Pfizer's new CFO, Lowe's finance chief David Denton, Gomez's r?sum? has a recent gap in pharma work. Prior to the dental equipment maker, Gomez was CFO for nearly two years at Cardinal Health. During his nearly 14-year career at Cardinal, Gomez worked up to the top CFO post after serving as CFO of the medical segment from 2015 to 2017 and finance chief of the pharma segment from 2012 to 2015.
Before joining Cardinal Health in 2006, he was in various positions at General Motors - across New York, Singapore, Belgium and Brazil - for the preceding nine years.
Gomez is also on the boards of water technology provider Xylem and video game therapeutics maker Pear Therapeutics.

'Beyond troubling': Current, former government officials tied to human trafficking probe in Georgia
Two Georgia labor officials whose jobs involved protecting or advocating for farmworkers have links to one of the largest U.S. human trafficking cases ever prosecuted involving foreign agricultural laborers brought here on seasonal visas.
One individual indicted in the case, Brett Donovan Bussey, left government service in 2018. The other, Jorge Gomez, remains on the job and hasn't been accused of wrongdoing, but officers searched his home in connection with the case and his sister and nephew are among those indicted.
In October, a grand jury indicted Bussey and 23 others for conspiring to engage in forced labor and other related crimes. Federal prosecutors say the defendants required guest farmworkers to pay illegal fees to obtain jobs, withheld their IDs so they could not leave, made them work for little or no pay, housed them in unsanitary conditions and threatened them with deportation and violence.
Two workers died in the heat, according to the indictment. Court records say five workers were kidnapped and one of them was raped.
All defendants who have entered pleas so far have pleaded not guilty in the case, named "Operation Blooming Onion." Some of the workers harvested onions, the state's official vegetable.
The indictment doesn't mention the links to the Georgia government, information USA TODAY, the Savannah Morning News and the Augusta Chronicle pieced together from public records and a review of social media posts.
Labor advocates have questioned how the trafficking scheme described in the indictment could have continued so long - at least since 2015. The government connections raise additional questions about potential conflicts of interest and who is put in charge of protecting vulnerable workers.
"It's beyond troubling," said Shelly Anand, a former U.S. Department of Labor lawyer and co-founder of Sur Legal Collaborative, an Atlanta-area nonprofit that educates workers about their labor rights and helps them file labor complaints.
In Georgia, the federal labor department has primary responsibility for enforcing migrant farmworker labor regulations. But the Georgia Department of Labor still can play a significant role in protecting farmworkers.
The state agency is supposed to report, resolve or refer suspicions of labor violations and help workers resolve or file complaints against their employers - farm labor contractors and farmers. The state also inspects housing that employers of foreign guest workers on seasonal H-2A visas must provide, a key hurdle to obtaining federal authorization to hire guest workers.
Bussey and Gomez both were directly involved in those tasks.

The widespread riots that have ensued after the killing of George Floyd have not only caused irreparable damage to property, but they've taken the lives of at least 17 Americans.
Some of the victims were either former or current law enforcement or innocent bystanders trying to get home or protect their business.
Those who have died so far during the riots:
David Dorn (77): Died protecting Lee's Pawn Jewelry from looters. He was a retired St. Louis Police officer who served the force for 38 years. He was shot in the torso by suspected rioters and died in the middle of the street.
Barry Perkins (29): Died after he was run over by a FedEx tractor-trailer in St. Louis. After being stopped by two men with guns, the driver feared for his life, honked the horn and sped away, unaware that Perkins was stuck on the converter dolly between the two trailers.
David McAtee (53): Died from a gunshot wound while serving food at his restaurant, Yaya's BBQ Shack, in Louisville. Someone in the crowd allegedly shot at National Guard officers during a protest. They returned fire, leaving McAtee dead shortly after midnight.
Dorian Murrell (18): Was shot and killed by Tyler Newby, 29, in Indianapolis. Newby was approached by Murrell and nine other men after Newby found a gas canister. The group asked him what he had found and pushed Newby to the ground. He pulled out his gun and shot Murrell, who was standing over him. Newby immediately turned himself in.
Italia Kelly (22): Was shot and killed during a protest in Iowa. Her family said she was protesting peacefully before the demonstrations devolved to violence. The shooter has not been identified.
Marquis M. Tousant (23): Was shot and killed in Iowa. Police found a semi-automatic handgun underneath Tousant's body. He was also seen in a video standing outside a jewelry store with a gun the same night he was killed.
Calvin L. Horton Jr. (43): Was fatally shot near the police department's Third Precinct in Minneapolis. He is believed to be the first death since the protests began.
James Scurlock (22): Was fatally shot by a bar owner during a physical altercation in Omaha. The shooter, Jake Gardner, was determined to have acted in self-defense.
Victor Cazares (27): Was shot and killed in Chicago during a riot. A town spokesperson said the shootings were a result of "outside agitators who were driving through Cicero seeking to cause trouble."
Patrick Underwood (53): Was gunned down by drive-by shooters reportedly targeting uniformed officers. Underwood was an officer in the Department of Homeland Security's Federal Protective Service. He was standing guard outside the U.S. Courthouse in Oakland.
